Terms & Conditions

These are the terms that apply when you engage Fairweb for website design, hosting, SEO, advertising or ongoing website support. We’ve written them in plain English so they’re easy to read.

1. About these terms

These Terms & Conditions apply to all services provided by Fairweb (“Fairweb”, “we”, “us”) to you (the “Client”), including website design and development, hosting, SEO, AI search readiness, social media and ads management, and ongoing website support.

By engaging Fairweb, requesting a quote, or accepting a proposal, you agree to these terms. They work alongside any specific quote, proposal or scope of work we send you — if anything in a signed quote conflicts with these terms, the quote takes priority for that project.

2. Quotes and pricing

All prices are in New Zealand Dollars (NZD) and exclude GST unless stated. Quotes are valid for 30 days from the date they are sent and are based on the information provided by the Client at the time.

Additional pages, features, integrations or revisions beyond the agreed scope may be quoted separately. We will always let you know before doing additional work that is chargeable.

3. Project process and timelines

Typical website projects follow these stages:

  • Discovery — we agree the scope, goals and pages.
  • Design & build — Fairweb designs and develops the website.
  • Review & revisions — the Client reviews and provides feedback.
  • Launch — once approved and final invoice settled, the site goes live.

Timelines depend on Client feedback, content delivery and the project’s complexity. We will keep you updated and flag any delays as early as possible. If the Client does not respond to requests for content or feedback for more than 30 days, Fairweb may pause the project or invoice the work completed to date.

4. Payments

Unless otherwise agreed in writing:

  • Website projects typically require a 50% deposit before work begins.
  • The remaining balance is due on launch or within 7 days of the final invoice.
  • Hosting, support and retainer services are billed in advance on a monthly or annual basis.
  • Ads and third-party costs (e.g. domain, paid media spend, premium plugins) are billed at cost or on-charged.

Invoices are payable within 7 days. Late payments may attract a reminder fee and ongoing services may be paused until the account is up to date.

5. Client responsibilities

To help your project run smoothly, the Client agrees to:

  • Provide accurate, timely content, images, logos and brand materials.
  • Ensure you have the rights to use any content you supply.
  • Respond to questions and review designs within reasonable timeframes.
  • Keep your login details and account credentials secure.

6. Intellectual property

Once the final invoice for a project is paid in full, the Client owns the custom design and final content of their website. Fairweb retains ownership of any underlying frameworks, code libraries, templates, tools and processes we use across multiple clients.

Third-party assets (themes, fonts, stock imagery, plugins) remain the property of their respective owners and are licensed under their original terms. Fairweb may showcase completed work in our portfolio and marketing unless the Client requests otherwise in writing.

7. Hosting and website support

Where Fairweb provides hosting or ongoing website support, we will use reasonable efforts to keep your website available, secure and up to date. We do not guarantee uninterrupted service and are not liable for downtime caused by third-party providers, internet outages, DDoS attacks, or events outside our reasonable control.

Hosting and support plans can be cancelled with 30 days’ written notice. On cancellation, the Client is responsible for arranging migration of their website if they wish to continue hosting it elsewhere.

8. SEO and marketing services

Fairweb will apply current best practices for SEO, local SEO, AI search readiness and digital advertising. However, we cannot guarantee specific search rankings, traffic levels, leads or sales, as these depend on factors outside our control — including search engine algorithms, competitor activity, market conditions and the Client’s own products and pricing.

9. Liability

To the maximum extent permitted by law, Fairweb’s total liability to the Client for any claim arising out of our services is limited to the fees paid by the Client for the specific service that gave rise to the claim in the 3 months before the claim was made.

Fairweb is not liable for indirect, incidental or consequential losses, including loss of profits, revenue, data, goodwill or business opportunities. Nothing in these terms limits any rights you have under the Consumer Guarantees Act 1993 where it applies.

10. Termination

Either party may terminate a project or ongoing service by giving written notice. The Client remains responsible for paying for all work completed up to the date of termination, including third-party costs already incurred on the Client’s behalf.

11. Confidentiality

Both parties agree to keep confidential any non-public information shared during the engagement, including business plans, pricing, customer data and project details, except where disclosure is required by law.

12. Governing law

These terms are governed by the laws of New Zealand. Any disputes will be resolved in the New Zealand courts. We will always try to resolve issues directly and fairly before escalating.

13. Changes to these terms

Fairweb may update these terms from time to time. The latest version will always be published on this page. Continuing to use our services after an update means you accept the updated terms.
